Eligibility and Initial Acknowledgements

1. Eligibility Requirements & Other Acknowledgements
I hereby represent and warrant that I meet all of the eligibility requirements listed below (together, "Eligibility Requirements"):
(a) I am a legal US resident of the fifty (50) United States or District of Columbia and am at least eighteen (18) years of age.
(b) Neither I nor any of my immediate family members (spouse, ex-spouse, parents, siblings, children, step-children, step-parents, step-siblings) or household members (whether or not related) currently are, or have been within the past twelve (12) months, an employee, director or officer of:
1. Lucky 13 Inc. (the “Producer”), its licensees, assigns, parents, or affiliated or subsidiary companies, or any person or entity directly involved in the development, production, distribution or other exploitation of Lucky 13 (“the Series”) or any variation thereof;
2. Any network or platform authorized to exhibit the Series (collectively, “Network”), any television station owned or operated by the Network, and each of their respective parents, subsidiaries, affiliates or related entities;
3. Any known, major sponsor of the Series or its advertising agency; or
4. Any person or entity supplying services or prizes to the Series.
(c) I am not currently nor do I intend to be a candidate for elected office, and if selected to appear in the Series, I agree that I will not become a candidate for elected office until at least twelve (12) months after the initial broadcast or other exhibition of the final episode of the Series in which I appear.
(d) I have not been convicted of a felony within the past ten (10) years (unless expunged).
(e) I do not currently (at or prior to signing this Application) have any confidential knowledge of, or access to, any material, assignments, questions and/or answers, challenges or competitions for the Series.

I further understand and agree that the Producer has the sole discretion to make its determinations of eligibility in any and all aspects, and the Producer reserves the right to change any of the Eligibility Requirements at any time. I understand and agree that the Producer reserves the right at any time to render ineligible any person who the Producer determines, in its sole discretion, is sufficiently connected with the production, administration or distribution of the Series such that his/her/their participation in the Series would create the appearance of impropriety.

I confirm that I shall notify the Producer immediately if any of my relatives, friends or acquaintances appear in, or is in any other way involved in, the production of the Series.

By signing the below, I represent and warrant that I am a legal resident of the United States of America, have the full right and authority to enter into this Application and to grant the rights granted by me in this Application. My participation in the Series (if any) and the use of same by the Producer or anyone else as permitted by this Application will not violate or infringe upon any third party’s rights and will not cause me to be in breach or violation of this Application or any other agreement.

I agree that if selected to be a contestant on the Series: (i) I must execute waivers and release agreements required by the Producer and the Network or any of their licensees, successors or assigns; (ii) I will appear as myself; my appearance will not be a performance, will not create an employment relationship between me and the Producer and/or Network, will not be subject to any union or guild collective bargaining agreement, and will not entitle me to any wages, salary, workers’ compensation benefits, corporate benefits, or other compensation of any kind, whether under any collective bargaining agreement or otherwise; (iii) I will be willing to travel to various locations as part of the production; and (iv) any opportunity to become a contestant may be subject to or conditioned upon my submission to a background check. No one has promised that I will be selected as a contestant on the Series or that I will be entitled to any prize or other goods, services or money if selected to appear on the Series. As used in this Application, the term “Prize” means, among other things, any awards, rewards, money, good and services, but does not include travel to and from or lodging at or near the Production Location (Las Vegas, Nevada) provided at the Producer’s expense. *

VIDEO RELEASE AND WAIVER

By signing this Video Release and Waiver (“Release”), I have voluntarily agreed to be filmed, recorded, or videotaped in connection with my interest in being considered as a potential participant in a production known as “Lucky 13” (the “Program”), a television quiz game show produced by Lucky 13 US, Inc. (the “Producer”) and intended for initial exhibition on one or more networks or platforms authorized to exhibit the Program (collectively, the “Network”). I represent and warrant that I have reviewed the Program’s Eligibility Requirements and that I meet the Eligibility Requirements for the Program. I hereby consent to the recording, editing, use and reuse by the Producer, Network and/or any of their respective licensees, assigns, parents, subsidiaries or affiliated entities and each of the respective employees, agents, officer and directors (collectively, the “Releasees”) of my name, likeness, voice, actions, appearance and biographical material and any information contained therein, and/or derived from, or obtained in connection with my application to be a contestant on the Program (collectively, “Likeness”), as edited, modified or altered by Producer or Releasees in any and all media now known or hereafter devised, worldwide and in perpetuity, in or in connection with: (i) my being considered for possible participation in the Program and (ii) the Program and its associated marketing, promotion, publicity activity, advertisement and/or other exploitation of the Program (in any form or media) thereof. I agree that Releasees may use all or any part of my Likeness, and may modify or alter it regardless or not of whether I am recognisable.

I specifically agree that Releasees shall have the full and exclusive ownership of any right, title, and interest in and to any and all recordings (video and/or audio) taken of me in connection with my application or the Program (collectively, the “Material”), and I shall have no rights whatsoever to the Material. I further agree that Releasees shall have the right, without limitation to edit, alter or modify the Material and to use all or part, the Material and my Likeness in any and all media now known or hereafter devised worldwide and in perpetuity. I further agree that Releasees may use my Likeness and the Material in connection with any promotion, publicity, marketing or advertisement of the Program. I grant the rights hereunder whether or not I am selected to participate in the Program in any manner whatsoever. I understand that I will not be paid any money for giving Releasees these rights or for signing this Release.

I hereby irrevocably release Producer, Network and each of the Releasees from any and all liability arising out of my participation in or in connection with the Program, including, without limitation their use of my Likeness and/or the Material, my participation in the application and contestant selection processes, and/or any exploitation of the Program, my Likeness, the Materials and/or any right granted herein on any legal theory whatsoever (including, without limitation, personal injury, rights or privacy and publicity, false light and defamation) (collectively, the “Released Claims”). I further agree not to make any claim against or sue Producer, Network or the Releasees as a result of the recording or use of my Likeness and/or the Material or any claim based on any of the Released Claims. I understand that neither Producer(s) or Releasees make any representation that such Material will or will not be used in any way.

Whether or not I am selected to be a participant on the Program, I agree to keep strictly confidential all information about or regarding the Producer, the Network, the Releasees and/or the Program that I may learn or acquire during the application and participant selection processes and/or during my participation in the Program (if any).

Governing Law/Binding Arbitration
This Release shall be deemed to be entered into in Los Angeles County, California, and shall be governed by and interpreted in accordance with the laws of the State of California applicable to agreements executed and fully carried out within California. The parties agree that any and all disputes or controversies arising under or relating to this Release (including, without limitation, the scope or applicability of this agreement to arbitrate) shall be resolved by binding and confidential arbitration in Los Angeles, California.

I expressly understand that Producer is under no obligation to select me, or further interview me for participation in the Program, or to select me for advance to any level of consideration for participation in the Program and the Producer has the right to eliminate me from further consideration as a contestant or potential contestant at any time and for any reason, and that Producer’s decision in final. In the event that Producer does further consider me for participation in the Program, I understand that, in order to participate in the Program, I shall be required to sign all agreements and releases for the Program, including the standard application and/or agreement (as applicable) provided by Producer in connection with such consideration.

I hereby authorise Producer and its designees to secure information about me, my background and my experiences from my current and former employers, associates, friends, family members, educational institutions, government agencies, credit reporting agencies, and any references or referees I have provided, and I authorise such parties to provide information concerning me to the maximum extent permitted by law.

I agree to inform Producer in writing (including by email) if I am approached for, interested in, or enter into any agreements to appear in or participate in any other television programming or programming produced for other platforms. If Producer late notifies me that I will not be a contestant on the Program, I understand that this provision will no longer apply.

This Release expressed the entire understanding between me/myself and Producer relating to the subject matter of this Release and replaces and supersedes any and all former agreements, representations or understandings between me/myself and Producer. Any laws that require or suggest that the interpretation of a document or agreement, or the resolution of any ambiguities contained herein should be resolved against the drafter of the document or agreement, are hereby waived. No modification, alteration or amendment of this Release will be valid or binding unless in writing and signed by both me and Producer. No waiver by Producer of any term or condition of this Release will be construed as a waiver by Producer of any other term or condition; nor will any waiver by Producer of any default under this Release be construed as a waiver by Producer of any other default. Producer may freely assign, in entirety or in part, any of their rights or obligations under this Release. I may not assign my rights and obligations under this Release.

This Release may be executed by original, facsimile or electronic signature in a form acceptable to the Producer. Any signed copy of this Release delivered by facsimile or electronic transmission shall for all purposes be treated as if it had been delivered containing my original signature, and shall be binding upon me in the same manner as though an original signed copy had been delivered.

The illegality, invalidity or unenforceability of any provision of this Release shall in no way affect the validity or enforceability of any of the remainder of this Release, which shall be enforced to the maximum extent permitted by law.

Release

I hereby acknowledge that I have read, and I meet the Eligibility Requirements. I certify that all statements made in this Application are true, accurate and complete. I understand that if any of the disclosures made by me on this Application are false or incomplete, this will be a cause for disqualification of my consideration for this Series. I further acknowledge and agree that this Application and any other written form and any other materials (including but not limited to photographs, videotapes, audiotapes and any other recordings) which I have submitted or will submit to the Producer, and written materials, photographs, videotapes, audiotapes and any other recordings taken by the Producer (hereafter referred to as the “Materials”) will become the sole and exclusive property of the Producer, and will not be returned to me.

I understand that as the owners of the Materials, the Producer shall have the right to edit, translate, subtitle, distribute and exploit the Materials in any manner at their sole discretion, including the right to exploit the Materials in this Series or any other production in all media both currently known or hereafter created, worldwide and in perpetuity, but shall have no obligation to do so. By signing below, I grant to the Producer the right to use the Materials, including but not limited to, any biographical information included in this Application, any home videotape or other recorded interviews, and to record, use, and publicise the Materials including home videotape or other recorded interviews, my voice, likeness and appearance in any manner in connection with this Series or any other production in all media both currently known and created hereafter, worldwide and in perpetuity.

I hereby release and indemnify the Producer, the Network, and all of their respective licensees, assigns, successors, parents, affiliated and subsidiary companies, divisions and joint ventures as well as their employees, directors, officers and agents (the “Released Parties”) from any and all claims or demands of every kind that I or any third party may not or have hereafter against the Released Parties in connection with my application to appear in the Series and the exploitation of any and all of the Materials, including all materials I have submitted in connection therewith, or any exercise by any or all of the Released Parties of any of the rights I am granting hereunder, or any other matter contained herein including but not limited to any claims for defamation, violation of rights of privacy and/or publicity, negligence, and/or intentional infliction of emotional distress.

In connection with the foregoing releases, I hereby expressly waive any and all rights and benefits conferred by the provision of Section 1542 of the California Civil Code or any similar law or provision of any jurisdiction throughout the world. For the avoidance of doubt, Section 1542 reads as follows:

“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOESN NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, AND THAT IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

Whether or not I am selected as a contestant on the Series, I agree to keep in the strictest confidence and to not use or disclose to any party any information or trade secrets learned or obtained as a result of this Application, questionnaires, selection processes or participation in the Series, the events in or contents of the Series, the Producer’s contestant selection process and production activities related to the Series or the outcome of these activities that I read, hear or otherwise acquire or learn in connection with or as a result of this Application, questionnaires, selection processes or participation in the Series (if any), (collectively, the “Confidential Information and Materials”) regardless of whether an episode of the Series has been exhibited which may include some or all of the Confidential Information and Materials, without the express prior written consent of a fully authorised representative of the Producer.

This Application may not be altered in any way except in writing with the permission of the Producer. This Application shall be governed by the laws of the State of California. In no event will I be entitled to rescind this Application or to seek injunctive or any other equitable relief, or any award of punitive damages. I have been given a full and timely opportunity to read this entire Application, and I have carefully done so. I certify that I fully understand the contents of this Application, and that I am of sound mind and that I intend to be legally bound by this Application.

This Application may be executed by original, facsimile or electronic signature in a form acceptable to the Producer. Any signed copy of this Application delivered by facsimile or electronic transmission shall for all purposes be treated as if it had been delivered containing my original signature, and shall be binding upon me in the same manner as though an original signed copy had been delivered.

The illegality, invalidity or unenforceability of any provision of this Application shall in no way affect the validity or enforceability of any of the remainder of this Release, which shall be enforced to the maximum extent permitted by law. *
